The 3 Legal Duties of the Board
To uphold this responsibility, the Board of Directors operates under three primary legal duties:
- Duty of Care: Actively participating in organizational planning and making informed, prudent decisions.
- Duty of Loyalty: Ensuring all actions are in the best interest of the nonprofit, putting the organization's mission above personal or professional gain.
- Duty of Obedience: Ensuring the organization complies with all applicable laws, adheres to its bylaws, and remains dedicated to its core purpose.
